- Formation of the Company:
A Joint-Stock Holding company is hereby formed between the owners of shares hereby issued and among all future shareholders.
The company is of Lebanese nationality and will be governed by the present Articles of Association, Legislative Decree No. 45 dated 24 June 1983, and the Lebanese Code of Commerce.

- Object of the Company:
The object of the company shall be exclusively the following:
- To acquire shares in existing joint stock or limited liability companies, Lebanese or foreign, or participate in the formation of such companies. However, the company is not allowed to directly own more than forty percent (40%) in more than two companies operating in Lebanon in the same industrial, commercial or non-commercial field, should such ownership breach the restrictions stipulated in Article 1 of Legislative Decree No. 32, dated August 15, 1967. The provisions of the above-mentioned restriction shall not apply to the Company’s investments outside Lebanon.
- To manage companies in which it owns partnership or corporation shares.
- To lend companies in which it owns partnership or corporation shares.
- To own inventions patents, discoveries, concessions, registered trade marks, and all other reserved rights, and to lease them to establishments located in Lebanon or abroad.
- To own movables and immovables on condition that they are allocated to the activities and operations of the company, and subject to the provision of the law concerning the acquisition by non-lebanese of real estate property in Lebanon.
- The company is prohibited from directly undertaking any activity or operation beyond its exclusively defined object.

- Duration of the Company:
The duration of the company is 25 years commencing on the date of its final constitution, unless it is dissolved before the end of its duration, or prolonged according to legal provisions.
